1. Introduction and Eligibility
Please read these Terms of Service ("Terms") carefully before using the Client Finder website and platform (the "Service"). These Terms constitute a binding agreement between you (or the business you represent, "Customer") and Client Finder. By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you affirm that you are at least 18 years of age and have the legal capacity to enter into contracts. The Service is intended for business use only and is not directed at consumers for personal use.
2. The Service
Client Finder provides an AI-powered B2B lead generation platform that enables businesses to:
- Search for companies based on industry, gaps, and precise rules.
- Aggregate public corporate data from trusted web sources.
- Synthesize company intelligence using advanced AI orchestration.
- Manage and archive prospective client lists.
The Service is provided on a subscription basis. Features, limits, and pricing vary by plan. We reserve the right to modify or discontinue features with reasonable notice as our business evolves.
3. Accounts & Access
Registration: You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
Account Security: You are responsible for maintaining the security of your account credentials. You agree to notify us immediately if you become aware of any unauthorized access to your account. We are not liable for any loss or damage resulting from unauthorized access due to your failure to maintain credential security.
4. Acceptable Use & Prohibitions
You agree to use the Service only for its intended business purpose and in compliance with all applicable laws. You are expressly prohibited from:
- Violating any applicable federal, state, or local law or regulation.
- Conducting telephone fraud, spamming, phishing, or other deceptive practices using the data retrieved.
- Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
- Transmitting any content that is unlawful, defamatory, obscene, or otherwise objectionable.
- Bypassing or circumventing any security features or rate limits of the Service.
- Reverse engineering, disassembling, or extracting source code from the Service.
- Using the Service to transmit any harmful code or engage in any unlawful activity.
- Reselling, sublicensing, or redistributing the raw data provided by our service without our prior written permission.
- Accessing the Service through automated means (e.g., scrapers, bots) except via our official API limits.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may expose you to legal liability.
5. B2B Data & Legal Compliance
Client Finder acts as a search engine and aggregator of publicly available B2B data. We do not generate the underlying data. You acknowledge that:
- You are responsible for ensuring your use of the Service complies with all applicable privacy laws in your jurisdiction.
- You will not use the Service to target consumers or individuals acting outside of a professional or business capacity.
- Data provided by the Service is for internal business operations and direct B2B marketing only.
Opting Out of Data Sharing: As part of our commitment to data privacy, Customers may opt out of having their company data aggregated or shared with third parties. This preference can be managed at any time via the "Data & Privacy" section of your Company Settings.
You explicitly agree NOT to use the data provided by Client Finder for:
- Spamming or sending unsolicited bulk email without an opt-out mechanism (in compliance with the CAN-SPAM Act).
- Violating applicable privacy and data protection regulations when interacting with prospects.
- Failing to append legally required disclosures to outbound communications sourced via our platform.
6. Payment & Billing
Some features of Client Finder require a paid subscription. Payments are billed in advance on a recurring basis (monthly or annually). All fees are non-refundable unless otherwise required by law. You may cancel your subscription at any time, but you will retain access to the paid features until the end of your current billing cycle.
7. Content Ownership & Use
The content on the Service, including designs, text, graphics, images, logos, and software, is the property of Client Finder and its licensors and is protected by copyright, trademark, and other laws.
Client Finder grants you a limited, revocable license to access and use the Service for its intended purpose. You must retain all copyright and other proprietary notices on any copies of the platform content you make.
8. Termination and Consequences
Client Finder reserves the right to suspend or terminate your access to the Service at any time for any reason, at its sole discretion, without notice or liability. You are responsible for any claims, fees, fines, penalties, and other liabilities incurred by us or others due to your breach of these Terms.
9. Liability and Disclaimers
The Service and its data are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied. We do not guarantee that the business data will be 100% accurate, complete, or up-to-date.
To the fullest extent permitted by law, Client Finder disclaims all liability for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from your use or inability to use the Service.
10. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Client Finder and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) your use of the Service, (ii) any content you submit or transmit through the Service, or (iii) your breach of these Terms.
11. Governing Law & Disputes
These Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you irrevocably submit to the personal jurisdiction of such courts.
